These Terms govern your access to and use of the Tolmo website, documentation, CLI, and platform (together, the “Service”), provided by Tolmo, Inc. (“Tolmo”, “we”, “us”), a Delaware corporation at 77 Geary Street, San Francisco, CA 94108, United States. By using the Service you agree to these Terms. If you do not agree, do not use the Service.

If you use the Service on behalf of an organization, you represent that you are authorized to bind it, and “you” means that organization.

Separate agreements come first

If you and Tolmo have signed a separate written agreement covering the Service — a master services agreement, an order form, an evaluation agreement — that agreement controls where it conflicts with these Terms. Where the CLI or any other component is distributed under its own license, that license governs that component.

Your account

Keep your credentials secure and current. You are responsible for everything that happens under your account. Tell us promptly at support@tolmo.com if you believe it has been compromised.

Authorized use only

The Service inspects, tests and changes software and infrastructure. You may point it only at systems you own or are expressly authorized to test, and you are solely responsible for holding that authorization. This is the most important obligation in these Terms.

You also agree not to: use the Service to attack, disrupt or gain unauthorized access to anyone else’s systems; break the law with it; resell or provide it to third parties except as we have agreed in writing; reverse engineer it except where law says you may; probe or benchmark it for a competing product; interfere with its operation or capacity; or remove any proprietary notice.

Your content

You keep ownership of the code, configuration, logs and other material you or your systems provide (“Your Content”). You grant Tolmo a worldwide, non-exclusive license to host, copy, process, transmit and display Your Content solely to operate, secure and support the Service for you, and to produce aggregated and de-identified statistics that do not identify you or any individual and that we may use to run and improve the Service.

You are responsible for having the rights to Your Content and for complying with law when you submit it.

Our intellectual property

Tolmo and its licensors own the Service, including all software, models, documentation, branding and everything else in it, and all associated intellectual property rights. We grant you a limited, revocable, non-exclusive, non-transferable right to use the Service in accordance with these Terms, and nothing more.

If you send us suggestions, feedback or ideas, we may use them without restriction, without compensation, and without any obligation to you.

Free, trial and early access

Parts of the Service may be offered free of charge, in trial, or in early access. We may change, limit or withdraw them at any time, and they may be less reliable than a paid release. Paid access, where applicable, is governed by the order form or agreement covering it.

No warranty

The Service is provided “as is” and “as available”, without warranty of any kind. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Service will be uninterrupted, timely, secure or error-free. Specifically, and because it matters: security tooling is not a guarantee of security. Tolmo does not warrant that it will detect every vulnerability, misconfiguration, intrusion or malicious change, that its findings will be free of false positives or false negatives, or that any fix it proposes or applies will be complete or correct. You remain responsible for your own security decisions, for reviewing changes before you rely on them, and for your own backups and recovery.

Limitation of liability

To the fullest extent permitted by law, Tolmo will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any lost profits, lost revenue, lost data, business interruption, or the cost of substitute services, however caused and on any theory of liability, even if we have been advised of the possibility.

Tolmo’s total aggregate liability arising out of or relating to the Service and these Terms will not exceed the greater of (a) the amounts you paid Tolmo for the Service in the twelve months before the event giving rise to the claim, and (b) one hundred US dollars (US$100).

These limits apply even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.

Indemnity

You will defend, indemnify and hold harmless Tolmo, its affiliates and their personnel from any claim, loss, liability, damage, penalty and expense (including reasonable legal fees) arising out of or relating to your use of the Service, Your Content, your breach of these Terms, or your use of the Service against any system you were not authorized to test.

Suspension and termination

We may suspend or terminate your access at any time, with or without notice, including if we believe you have breached these Terms or that your use creates risk for us, for the Service, or for anyone else. You may stop using the Service at any time. Sections that by their nature should survive termination do so, including intellectual property, disclaimers, limitation of liability, indemnity and dispute resolution.

Changes

We may change the Service and these Terms at any time. The current version is always posted here with the date it took effect, and continued use after a change means you accept it.

Compliance and export

You may not use the Service in violation of US export control or sanctions laws, or from an embargoed country, or if you are a restricted party under those laws.

Governing law and disputes

These Terms are governed by the laws of the State of California, excluding its conflict of laws rules. Any dispute will be resolved by binding arbitration in San Francisco, California under the then-current rules of JAMS, before a single arbitrator, in English.

Disputes will be brought only in an individual capacity, and not as a plaintiff or class member in any class or representative proceeding. Either party may bring an individual claim in small claims court, and either party may seek injunctive relief in the state or federal courts located in San Francisco, California to protect its intellectual property or confidential information.

Miscellaneous

These Terms, together with any separate agreement described above, are the entire agreement between you and Tolmo about the Service. If any provision is held unenforceable, the rest stays in force. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them freely. Nothing here creates a partnership, agency or employment relationship.
